The Practice

 

Contracts: Drafting and negotiating construction agreements on behalf of owners, general contractors, trade contractors and suppliers in private (residential and commercial) and public works;

Construction Disputes: Representation of owners, general contractors, subcontractors, suppliers and design professionals in disputes involving payment, delay damages and construction defects, including administration of SB 800 (the “Fix It” Bill for residential  construction);

Mechanic’s Liens: Assertion and defense of mechanic’s liens, stop notice, bond claims, and related remedies;

License Discipline: Representation of contractors in discipline and license proceedings before the Contractors State License Board; and

Insurance & Risk Management: Insurance review, including GL policies, OCIP’s and CCIP’s as well as development of risk management policies and strategies.

 

Contracts & Disputes:  Purchase agreements, leases, confirming or establishing interests   in real property, easements, boundaries, andother real property disputes;

Leases:  Office, industrial, retail and other commercial leases;

Land Use:  Development agreements with local entities, re-zoning; map conditions, mitigation easements and credits, and infrastructure improvements and bonding;

Homeowners Associations:  Representation of homeowner associations and homeowners regarding bylaws, management and CC&Rs; and

Financing:  Drafting and negotiating purchase, development and construction loans, promissory notes and deeds of trust.

Corporations and Other Entities:  Formation of corporations, limited liability companies,  limited and general partnerships, buy-sellagreements, stock and asset purchases, and other related corporate transactions;  

General Counsel:  Serve as general counsel for companies and businesses advising on various business related issues and coordination with with counsel specializing in other legal areas; and

Business Contracts & Disputes:  Representing clients in drafting and negotiating business agreements as well as in disputes involving vendors, customers and others.

 

Legislative:  While our firm is not a registered lobbyist and does not engage in lobbying activity, we advise clients and trade associations on the legal ramifications arising out of proposed legislation impacting the construction industry pending before the California Legislature and assist lobbyists in drafting amendments to legislation; and

Administrative:  We advise our clients on proposed and pending regulations impacting the construction industry in California.
